Terms of Service

You must be at least 16 years old (or the age of digital consent in your jurisdiction) and not barred from receiving the Service under applicable law. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Account sharing between distinct individuals is prohibited; each user requires their own seat.

Lumen BI provides AI-assisted business intelligence tooling, including data ingestion, dashboards, analytics, AI-generated narratives, and exports. Features available to you depend on your plan. We may improve, modify, or discontinue features; we will not materially reduce core functionality of a paid plan during a paid term without notice.

Paid plans are sold on a recurring subscription basis (monthly or annual) and billed in advance through our Merchant of Record, Paddle. Subscriptions renew automatically at the then-current list price for the same term unless cancelled before the renewal date. You authorize us and our payment processor to charge your selected payment method for all fees, applicable taxes, and any usage above included entitlements.

Fees are exclusive of taxes; you are responsible for all VAT, GST, sales, and similar taxes, except taxes on our net income. If a charge fails, we may retry, suspend access, and ultimately terminate the subscription.

Free trials, free tiers, and beta features are provided "as is" and may be modified or discontinued at any time. Beta features may be unstable; do not rely on them for production workloads. We may collect additional usage data from beta features to improve them.

You may cancel at any time from Billing. Cancellation stops the next renewal; paid access continues until the end of the current billing period. Refunds are governed by our Refund Policy. Statutory withdrawal rights (e.g., the EU 14-day right of withdrawal for consumers) remain available where applicable; by starting to use the Service during the withdrawal period you may waive that right to the extent permitted by law.

You retain all right, title, and interest in data you upload, connect, generate, or otherwise make available through the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative works of Customer Data solely as needed to provide, secure, and improve the Service for you and to comply with law. We do not sell Customer Data and do not use Customer Data to train foundation AI models — see our AI Disclaimer.

The Service, including software, designs, content, trademarks, and documentation, is owned by LUMEN BI LLC and its licensors and protected by intellectual property law. Subject to these Terms and continued payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes.

"Lumen BI" and the Lumen BI logo are trademarks. You may not use them without our prior written consent, except for factual references (e.g., "we use Lumen BI").

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference. In particular, you must not reverse engineer, scrape, resell, or use the Service to build a competing product, and must not upload illegal content, malware, or regulated data outside an agreed-upon framework.

AI features are decision-support tools. AI output may be inaccurate, incomplete, or biased and must be reviewed by you before being relied upon. AI output does not constitute legal, financial, accounting, tax, medical, engineering, or investment advice. See the AI Disclaimer.

The Service relies on third-party infrastructure, AI model, billing, email, and monitoring providers listed on our Subprocessors page. You authorize us to engage these sub-processors to process Customer Data on your behalf. If you connect third-party services (e.g., spreadsheets, databases), your use of those services is governed by their own terms.

Each party will protect the other's non-public information disclosed in connection with the Service with the same standard of care it uses for its own confidential information, and no less than reasonable care. Customer Data is your Confidential Information.

We may suspend or terminate access (in whole or in part) if you (a) materially breach these Terms or the AUP and do not cure within 10 days of notice (or immediately for serious breaches such as illegal content, security violations, or non-payment after retry), (b) create risk or liability for us or other customers, or (c) are required to do so by law. On termination, your right to use the Service ends and we will, on request made within 30 days, make Customer Data available for export, after which we may delete it as described in the Privacy Policy.

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance and emergency maintenance; we will use reasonable efforts to minimize disruption. Specific service-level commitments, if any, are only those stated in a separately signed order form or SLA.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI OUTPUTS WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) USD 100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (FOR EXAMPLE, FRAUD, GROSS NEGLIGENCE, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).

You will defend and indemnify LUMEN BI LLC against third-party claims arising from (i) your Customer Data, (ii) your use of the Service in violation of these Terms or law, or (iii) your infringement of third-party rights, and pay damages and costs finally awarded or agreed in settlement.

Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, epidemics, internet or cloud-provider outages, or labour disturbances.

You will comply with all applicable export-control, sanctions, and anti-corruption laws. You represent that you and your end users are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, and are not on any restricted-party list.

We may update these Terms from time to time. We will notify you of material changes by email or in-product at least 14 days before they take effect. If you do not agree to a change, your sole remedy is to stop using the Service and cancel your subscription before the effective date.

These Terms are governed by the laws of the jurisdiction stated in your order form or, if none, the laws of England and Wales, excluding their conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction, except that either party may seek injunctive relief in any competent court. Consumers benefit from the mandatory consumer-protection laws of their place of residence.

These Terms (together with the Privacy Policy, AUP, AI Disclaimer, Refund Policy, and any order form) are the entire agreement between the parties and supersede prior agreements on the same subject. If any provision is found unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
